This Terms of Service is a legal agreement (“Agreement”) between you (“User,” “you,” or “your”) and AlgoriX Technology Pte. Ltd. (“AlgoriX,” “Company,” “we,” “our,” or “us”) who, whether directly or indirectly, owns and operates the website Algorix.co as well as the Services (as defined below) and the content thereon (collectively, the “Site”). By accessing the Site and using any of the Services offered through it, you agree to be bound by the terms and conditions of this Agreement and any other rules and guidelines on the Site. If you do not agree to be bound by this agreement, then do not use the Site or the Services. Moreover, some parts of this Agreement may change at any time without notice to you, so we recommend you to check this page regularly. Your continued use of the Site means you accept the changes we have implemented. Furthermore, where prohibited by law, this Agreement is rendered void and your right to access the Site is revoked. 

1. Eligibility

To use this site and its Services, you must be an individual person of at least 18 years of age. By using the site, you confirm that you meet the minimum age requirement.

2. Jurisdiction

AlgoriX is headquartered in Singapore. This Site may not be accessible or available for use in some countries. By accessing this Site, you do so at your own initiative and are fully responsible for complying with the rules and regulations in your locality. Furthermore, AlgoriX, at our sole discretion, may make some parts or the entirety of this Site unavailable to some locations, persons, or jurisdictions at any time.

3. Site Services and Content

The AlgoriX website may provide you with Services and Content related to our products and business. The use of these Services and Content is governed by our Privacy Policy. Below are the Services and Content we may provide:

• Services. Our Site allows you to submit inquiries regarding our products and services. Although we do our best to respond to these, we cannot guarantee that we can respond to all. We reserve the right to reject inquiries at our own discretion. 
• Content. The Content on our Site may be produced by our employees or provided by a Third Party for your convenience. It should not be used as a substitute for professional advice or recommendation. Moreover, it should not be misconstrued as warranty of the services we provide or be used as the sole basis of your decisions. Instead, we encourage you to evaluate the accuracy, usefulness, or completeness of the Content.

4. Use of Site Services and Content

• While using the Site, the following rules of conduct must be observed in addition to complying with all applicable laws and regulations. Failure to comply with the rules governing the usage of Site Services and Content will result in the possible termination of your access to the Site. Moreover, you will be held liable to us for such violations.

When using the Site, you agree that:

• Your account is for your own exclusive, personal use. It may not be assigned or transferred to any other person or entity. Furthermore, AlgoriX is not responsible for third party access to your account caused by theft or misappropriation of your log-in details. 
• You will not use the Site for any fraudulent or unlawful purpose. This includes impersonating AlgoriX, our Clients, or any connected person or entity to imply that we endorse or support any statement or posts you make. 
• You will not post or make available any content that infringes on the legal rights of others or use the Site to abuse, harass, stalk, or threaten other users.  
• You will not use the Site to harvest or collect personally identifiable information about other Site users or create a database by illegally downloading and storing any of our Site content. In addition, framing or mirroring any part of the Site without our prior written consent is also prohibited. 
• You will not interfere with or disrupt the operation of the Site and restrict other people from using it either through hacking or by defacing any part of it.
• You will not reverse engineer, decompile or disassemble any portion of the Site or use any robot, spider, site search/retrieval application to “scrape,” “data mine” or retrieve Site content without our prior written consent. 

Furthermore, AlgoriX is not responsible for the conduct of any Site User or any technical issues that may ensue as a result of the User accessing or downloading materials from the Site. AlgoriX, in addition its clients and partners, are in no way responsible for any loss or damage that may result from the use of the Site or its Services.

5. Ownership and Copyright Policy

AlgoriX retains all rights to the Services and Content found on the Site and is its legal copyright owner. Copying, modifying, distributing, or leasing any part of it is prohibited. AlgoriX may terminate the account and access of any user who repeatedly violates our terms and service. 

However, you retain ownership of any information, content, or materials you submit or make available through the Site. Yet by doing so, you also grant AlgoriX and its subsidiaries the right to use, reproduce, distribute, and adapt these submissions without compensation to you. You also guarantee that you are the copyright owner of these submissions. AlgoriX is not responsible for any damages that may ensue from the use or misuse of any public submissions you make through the Site. If you submit any personally identifiable information, you do so at your own risk. 

Lastly, if you believe that any of the Site content infringes on your copyright, you may submit a notification via our Contact form. 

6. User Information

The information you have submitted through this Site is governed by the Site’s Privacy Policy, which is integrated into this Terms of Service by virtue of this section. Therefore, you guarantee and warrant that the information you submit to this Site is in no way inaccurate, misleading, or false. If the information you have submitted is no longer accurate and true, you will promptly notify AlgoriX of such change. We reserve the right to terminate your use of the Site if you provide false, obsolete, or incomplete Information.

In addition, you acknowledge and agree that AlgoriX may monitor, evaluate, or alter your submissions before they appear on our Site. Consequently, we may also verify that you have the right to make such submissions and refuse, reject, or remove submissions at any time or for any reason. 

7. Links to Third-Party Sites

While accessing the Site, you may come across links to other websites and online resources. AlgoriX has no control over such sites and resources. Therefore, we are not responsible for their availability nor do we endorse or are liable for any content, advertising, products, or other accessible materials that may be found on such external sites. You acknowledge and agree that AlgoriX is not responsible for any loss or damages that may occur when you use those third-party websites. Moreover, when you use those third-party websites, you do so at your own risk and are subject to the terms and conditions governing those websites. 

AlgoriX reserves the right to block or remove links to those third-party websites from any of our properties at our discretion. 

8. Limitation of Liability

ALL THE SERVICES, CONTENT, INFORMATION, AND MATERIALS CURRENTLY AVAILABLE IN THE SITE ARE PROVIDED “AS IS” WITHOUT ANY WARRANTIES, MAY IT BE EXPLICITLY OR IMPLICITLY REPRESENTED, THAT THE SITE IS OR WILL BE COMPLETELY ACCURATE OR THAT ANY PARTICULAR SOFTWARE OR HARDWARE IS COMPATIBLE WITH IT. YOU THEREFORE AGREE THAT YOU ARE FULLY RESPONSIBLE FOR OBTAINING AND PAYING FOR ANY HARDWARE, SOFTWARE, OR SERVICES NECESSARY TO ACCESS THE SITE AND ENSURE THAT THESE ARE COMPATIBLE WITH THE SITE. 

TO THE FULLEST EXTENT OF THE LAW, ALGORIX WILL NOT, IN ANY EVENT, BE HELD LIABLE FOR ANY INCIDENTAL OR INDIRECT DAMAGES THAT MAY RESULT WITH THE INABILITY TO USE THE SITE OR SERVICES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES OR LOSS FROM SERVICE INTERRUPTIONS, CORRUPTED DATA OR PROGRAMS, AND PROCUREMENT OF SUBSTITUTE SERVICES.

Furthermore, AlgoriX, to the best of its abilities, has taken necessary measures to comply with current industry standards regarding service availability and security. However, we do not guarantee that the use of the Site will be uninterrupted and fully secure. In addition, in the case of third parties making unauthorized alterations to the Site, please immediately contact us with further information including the description of the materials plus the URL or location of these materials. 

9. Indemnity

You agree to indemnify, defend, and hold AlgoriX, its manager, employees, clients, and partners (collectively, Indemnified Persons) harmless from  any claims, losses, expenses, and liability, which may arise from (i) your use of or inability to use our Site and any of our Services, (ii) your violation of this terms of service, and (iii) your violation of any of AlgoriX’s policies, (iv) your failure to secure the required copyright licenses, consents, waivers, and titles necessary to the use of our Services, (v) and your violation of any relevant laws, rules, and regulations. By agreeing to this Terms of Service and without our prior consent, you also agree not to settle any claims against any Indemnified Persons. With regard to any indemnification by you,  AlgoriX reserves the right to assume exclusive defense and control at its own cost. In such cases, you agree to fully cooperate with AlgoriX. 

10. Termination

This agreement will be effective on the date you agree to the terms of this Agreement and/or create a Service account on the AlgoriX platform and will remain in effect until it is terminated by either party as described in this section. Either you or AlgoriX may terminate this Agreement at any time, with or without cause, by sending a written notice of cancellation to legal@algorix.co. Upon receipt of such notice, AlgoriX reserves the right to immediately suspend or terminate your access to any of our Services without prior notice and at our own sole discretion. 

Upon termination, AlgoriX reserves the right to remove and erase at any time and at our own discretion your account information and data from any of our Services and records. In turn, you must also immediately erase and destroy all copies in your possession of any AlgoriX Code or Protocol. Moreover, any fees paid in relation to our Services are deemed non-refundable and non-cancelable unless you are one of our clients or partners and the payment terms in your individual contract states otherwise. Lastly, once the Agreement is terminated, you agree to to pay AlgoriX any amount owed or invoiced within 30 business days.
